Terms of Service

Please read these Terms of Service (“Terms”) carefully before you register, create an account through third-party sign-in, purchase any paid service, use the dashboard, create API keys, top up balance, subscribe, or otherwise access the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Scope
These Terms apply to your use of the website, dashboard, user API keys, payment and subscription features, balance top-ups, redemption features, chat features, legal documents, and any API gateway or model access capabilities provided through the Service.
Additional policies, beta terms, campaign rules, or feature-specific terms may also apply. Where a specific supplemental policy conflicts with these Terms on a specific matter, the supplemental policy will control for that matter.
2. Nature of the Service
The Service is an online software and API platform for developers, teams, and individual users. It may provide:
- account, dashboard, and API key management;
- access to one or more third-party AI models, inference services, or related software services through the platform;
- balance, subscription, discount, promo, invite, and redemption features;
- usage, billing, quota, rate-limit, concurrency, routing, and account management features;
- chat, documentation, settings, and third-party sign-in features.
You acknowledge that:
- the Service may route, proxy, aggregate, or integrate third-party providers, model platforms, cloud services, identity services, or payment services;
- some features depend on third-party availability, region support, compliance policies, capacity, and technical limitations;
- we do not guarantee that any particular model, provider, route, alias, context length, price mapping, latency, or upstream resource will remain available or unchanged.
3. Eligibility and Authority
You represent and warrant that:
- you meet the minimum age required under applicable law to lawfully use the Service and enter into a binding agreement;
- you may use the Service in your own name, or you are authorized to bind the company or organization you represent;
- your registration, billing, tax, and payment information is true, complete, and kept up to date;
- you are not using the Service from a prohibited, sanctioned, restricted, or otherwise unlawful jurisdiction, entity, or use case.
If you use the Service on behalf of an entity, “you” includes that entity.
4. Account Security and Credentials
You are responsible for safeguarding your account, password, verification codes, API keys, OAuth identities, access tokens, refresh tokens, and any other credentials.
You agree that you will not:
- share credentials with unauthorized third parties;
- create or control multiple accounts in order to evade billing, limits, suspension, risk controls, region restrictions, or upstream/provider policies;
- allow third parties to use your account or API keys except as expressly permitted by us.
You are responsible for all activity under your credentials unless otherwise required by law. If you suspect unauthorized access, compromise, or misuse, you must notify us promptly.
We may reset, suspend, rotate, revoke, or restrict credentials where we reasonably suspect fraud, abuse, compromise, or security risk.
5. Third-Party Sign-In and Third-Party Services
The Service may support third-party login or identity binding methods such as GitHub, Google, LinuxDo, OIDC, or WeChat. Those services are controlled by their own providers and subject to their own terms.
The Service may also integrate third-party AI providers, model platforms, APIs, cloud infrastructure, and software tools. Your use of the Service may therefore also be affected by third-party terms, region restrictions, content rules, sanctions rules, or technical limitations.
6. Pricing, Payments, and Subscriptions
6.1 General
The Service may offer one or more of the following commercial models:
- prepaid balance;
- recurring subscriptions;
- usage-based billing based on requests, tokens, images, models, or feature classes;
- discount codes, redemption codes, invite benefits, promotional credits, or manual adjustments;
- other pricing structures introduced in the future.
Applicable prices, taxes, quotas, limits, and billing rules are those presented at checkout, on the order page, in the dashboard, in billing records, or in related commercial pages at the time of purchase or use.
6.2 Creem Merchant of Record Notice
If your payment is processed through Creem, you acknowledge that:
- Creem may act as Merchant of Record for the transaction;
- your card or bank statement may display
CREEM.IO* STOREor a similar descriptor; - Creem may be involved in payment processing, invoicing, taxes, customer portal access, cancellation flows, refund coordination, and charge dispute handling;
- order receipts, payment confirmations, and self-service order management may be delivered through Creem or Creem’s customer-facing tooling.
6.3 Auto-Renewal
If you purchase a recurring subscription, the subscription will automatically renew for successive billing periods unless you cancel before the next billing date through the Service, the customer portal, the order management page, or another cancellation path we explicitly provide.
Unless otherwise required by law or expressly stated by us, cancellation generally stops future renewals but does not reverse the current billing period once it has started.
6.4 Usage Metering
For balance-based, usage-based, or hybrid services:
- fees may accrue when requests are accepted, queued, forwarded, processed, partially completed, or otherwise metered;
- fees may depend on request count, input/output tokens, cache usage, images, model class, provider cost, tax, exchange-rate handling, feature tier, routing, or internal pricing conversion rules;
- platform billing records, usage logs, and settlement records will be the primary source of truth absent a manifest billing error.
If you believe there is a clear billing error, contact us promptly with relevant timestamps, amounts, request windows, model names, and account information so we can review the matter.
7. Cancellation, Refunds, and Chargebacks
7.1 Cancellation
You may cancel future subscription renewals using the cancellation path we provide. Cancellation does not automatically reverse charges for the current billing period and does not automatically reverse digital benefits that have already been provisioned, credited, activated, or consumed.
7.2 Refund Policy
Because the Service primarily delivers digital services, developer tools, API access, subscriptions, account resources, and immediately available software access, and except where required by applicable law or expressly promised by us:
- delivered or provisioned digital services are generally non-refundable;
- partially used or activated balances, credits, quotas, invite benefits, promo benefits, and redeemed benefits are generally non-refundable and non-cashable;
- unused time in an active subscription period is generally not prorated for refund;
- dissatisfaction with third-party model output, failure to read documentation, forgotten cancellation, region restrictions, provider policy conflicts, risk-control blocks, or your own compatibility or workflow issues do not automatically qualify for a refund.
7.3 Cases We May Review Favorably
Subject to law and payment rules, we will typically review the following situations in good faith:
- duplicate charges;
- obvious double billing caused by technical failure;
- confirmed unauthorized payments;
- legally required refund situations;
- other cases where we determine a refund, credit, or adjustment is appropriate.
7.4 Refund Contact Flow
If your payment was processed through Creem, you should first contact us using the support contact shown on the website, within the Service, or in your receipt. If that does not resolve the issue, or if you need to review orders, self-cancel subscriptions, or seek further payment assistance, you may also use Creem support or Creem’s customer-facing order tools.
7.5 Chargebacks and Payment Disputes
Before initiating a chargeback, payment dispute, or bank reversal, you agree to make a reasonable effort to contact us first.
If you initiate a chargeback on a valid, delivered, or partially consumed transaction, or repeatedly abuse dispute channels, we may, to the extent permitted by law:
- suspend or terminate your account;
- revoke unused promotional benefits or credits;
- deny future access to the Service;
- seek recovery of outstanding fees, chargeback fees, dispute costs, and reasonable collection costs;
- provide supporting evidence to the payment processor, Merchant of Record, or risk partners.
8. Acceptable Use and Prohibited Conduct
You must comply with these Terms, the Usage Policy, applicable law, and relevant third-party rules.
You must not use the Service for:
- unlawful, infringing, fraudulent, deceptive, abusive, or harmful conduct;
- phishing, malware, credential attacks, spam, evasion, scraping abuse, provider policy evasion, or other technical abuse;
- unlawful content generation, dissemination, or facilitation;
- unauthorized resale, credential sharing, or token/key distribution, unless expressly permitted by us;
- high-risk use cases where errors may cause injury, legal harm, financial harm, safety harm, or regulatory harm.

9. User Content and AI Output
You are responsible for all prompts, text, images, files, settings, keys, metadata, and other content you submit, upload, transmit, store, or process through the Service (“User Content”).
You represent and warrant that:
- you have all necessary rights and permissions to submit and process User Content;
- User Content does not violate law, third-party rights, privacy obligations, confidentiality duties, export controls, sanctions rules, or contractual restrictions.
To provide the Service, maintain security, investigate abuse, perform billing, and handle disputes, we may process User Content and related technical logs to the extent reasonably necessary.
AI output may be inaccurate, incomplete, outdated, biased, offensive, or unsuitable for your intended use. You are solely responsible for reviewing and validating output before relying on it.
10. Service-Specific Rules
10.1 API Gateway and Model Access
The Service may provide unified access to one or more third-party models, inference services, image capabilities, chat capabilities, or related APIs. You acknowledge that:
- a model name shown in the Service does not guarantee that the model will always be served by the same upstream account, region, or route;
- we may change provider routing, model mapping, route logic, compatibility layers, retry behavior, and fallback behavior based on stability, compliance, cost, regional availability, load, risk, or operational needs;
- we do not guarantee that any specific upstream account, platform, latency profile, output style, rate profile, or service window will remain continuously available.
10.2 API Keys and Integration Responsibility
User API keys are for your own use, or your authorized internal team use, only. Unless we expressly permit otherwise in writing, you must not:
- resell, rent, publicly share, or embed user API keys into public clients;
- use user API keys to provide an unauthorized public proxy, anonymous gateway, or unreviewed forwarding service for third parties;
- use user API keys to build downstream services that violate these Terms, the Usage Policy, or upstream-provider rules.
Requests made using your API key are generally attributable to your account for metering, billing, risk review, and enforcement purposes.
10.3 Metering, Logs, and Billing Evidence
For API and model access, the Service may record necessary technical and billing metadata for metering, risk control, audit, support, and dispute handling, including:
- timestamps, statuses, paths, models, platforms, and route information;
- input/output tokens, cache metrics, image counts, image sizes, and other resource-consumption indicators;
- API key, account, group, subscription, concurrency, rate-limit, or quota information;
- IP address, user agent, error codes, request type, duration, time-to-first-token, and similar technical signals;
- related payment, fraud, and anomaly-detection metadata.
Except in the case of a manifest error, these records may serve as evidence that the Service was accessed, that fees were incurred, that entitlements were consumed, and that a refund, chargeback, fraud review, abuse review, or support appeal should be granted or denied.
10.4 Upstream Providers and Third-Party Output
Many of the models, APIs, and capabilities accessible through the Service are ultimately provided by third parties. You acknowledge that:
- third parties may independently log, review, cache, limit, or reject requests;
- model, region, or feature availability may change suddenly;
- third-party output may be erroneous, unstable, infringing, or inconsistent with prior behavior;
- any difference between data handling in chat mode and API mode is described in the Privacy Policy.
11. Availability, Changes, and Beta Features
We may update, modify, limit, reroute, reprice, maintain, suspend, replace, or discontinue any part of the Service at any time.
We do not guarantee uninterrupted availability or permanent availability of any particular model, route, alias, provider, or technical capability.
Beta, preview, experimental, or test features may be changed or removed at any time and may not be suitable for production use.
12. Suspension and Termination
We may restrict, suspend, freeze, deny, or terminate access to all or part of the Service if:
- you violate these Terms, the Usage Policy, or applicable law;
- you violate third-party provider, sanctions, identity, or payment rules;
- your activity presents fraud, abuse, chargeback, security, compliance, or reputational risk;
- payment fails, remains outstanding, or is disputed;
- we reasonably believe continued service would create legal, regulatory, operational, payment, or security risk.
We may retain logs, transaction records, billing records, and compliance records as necessary for legitimate operational, legal, risk, or evidentiary purposes.
13. Disclaimer
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted availability, non-infringement, accuracy, reliability, and suitability.
We do not guarantee the performance, legality, accuracy, safety, continuity, or suitability of third-party AI output, third-party providers, or third-party integrations.
14. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, lost profits, lost goodwill, business interruption, or data loss arising out of or related to the Service.
To the maximum extent permitted by law, our total liability arising from or relating to the Service will not exceed the total amount you actually paid to us for the relevant Service during the 12 months before the event giving rise to the claim, except to the extent a different rule is required by applicable law.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Sanctions, Export Control, and Region Restrictions
You must not use the Service in or for the benefit of sanctioned, embargoed, restricted, or otherwise prohibited jurisdictions, persons, or entities.
You agree to comply with applicable export control, sanctions, anti-fraud, anti-money-laundering, anti-bribery, and payment-compliance requirements. If your jurisdiction, use case, ownership, or transaction is restricted by our payment partners, Merchant of Record, upstream providers, or applicable law, we may restrict or terminate access.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms may be posted on the website, in the dashboard, on legal document pages, in announcements, or through other reasonable notice mechanisms.
Your continued access to, purchase of, login to, or use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.
